1. Acceptance of Terms

By creating an account or using the Callup mobile application and related services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

These Terms constitute a legal agreement between you and 17811659 Canada Inc. ("Callup," "we," "us," or "our"), a company incorporated in British Columbia, Canada.

We may update these Terms from time to time. We will notify you of material changes via in-app notification. Continued use after changes constitutes acceptance. If you disagree with updated Terms, you must stop using the Service and delete your account.

2. Eligibility

You must be at least 13 years of age to use Callup (16+ in the European Economic Area).
If you are under the age of majority in your jurisdiction (typically 18 or 19), you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.
You must provide accurate and complete information during registration.
You may only maintain one account. Creating multiple accounts may result in suspension.
We reserve the right to refuse service to anyone for any reason.

3. Your Account

3.1 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You agree to:

Keep your login credentials secure
Notify us immediately at support@callup.gg if you suspect unauthorized access
Not share your account with others

3.2 Account Deactivation and Deletion

You may request account deletion at any time via Settings → Delete Account.
Upon deletion request, your account is immediately deactivated (hidden from other users) and scheduled for permanent deletion after a 30-day grace period.
During the grace period, you may cancel the deletion by logging in and selecting "Cancel Deletion."
After 30 days, your account and all associated data are permanently and irreversibly deleted, including clips, messages, coaching history, and profile information.
We reserve the right to suspend or terminate accounts that violate these Terms.

3.3 Callup Desktop App License (Windows)

If you install the optional Callup Desktop app for Windows, the following additional terms apply:

License grant. We grant you a personal, non-exclusive, revocable, non-transferable, and non-sublicensable license to install and use Callup Desktop on Windows computers you own or control, solely for personal, non-commercial use in connection with your Callup account.

Restrictions. You may not:

Reverse engineer, decompile, or disassemble the desktop app, except to the extent expressly permitted by applicable law
Redistribute, resell, sublicense, or rent the installer or app
Use the desktop app in violation of any third-party game publisher's terms of service or end-user license agreement
Use the desktop app to capture content you do not have the right to record (for example, other people's screens, copyrighted broadcasts, or content protected by digital rights management)
Modify or create derivative works of the desktop app or its installer
Use the desktop app to harm, harass, or violate the privacy of any other person

Your responsibility. You are responsible for ensuring that your use of the desktop app — including any gameplay capture you perform — complies with the terms of service of the games you play and with all applicable laws in your jurisdiction. Different game publishers permit gameplay capture under different terms. We do not police your compliance, and your violation of a game publisher's terms is a matter between you and that publisher.

Anti-cheat compatibility disclaimer. Callup Desktop uses Microsoft-supported screen capture APIs (Windows.Graphics.Capture) and is designed to be compatible with the major commercial anti-cheat systems used by competitive games. We make no guarantees against false positives in any specific anti-cheat system. You assume the risk of using the desktop app alongside any specific anti-cheat-protected title. If you experience an anti-cheat-related issue, contact support@callup.gg and we will investigate; we may temporarily disable capture for the affected title via remote configuration while we work with the anti-cheat vendor.

Tier mechanics. The free tier and Pro tier of Callup Desktop have different capture parameters as described in the desktop app's Settings and on https://callup.gg/download. We may adjust these parameters from time to time as the product evolves; material changes will be communicated via in-app notice.

Watermark. Free-tier captures published from Callup Desktop include a small Callup watermark in the lower-right corner of the published clip. This watermark is applied at capture time and cannot be removed retroactively. Pro-tier captures are unwatermarked.

Updates. Future versions of Callup Desktop may include an automatic update mechanism. If we ship that capability, the in-app Settings page will describe how to opt out, and we will update this Section 3.3 before any auto-update behavior becomes active. Until then, you obtain updates by downloading new installers from https://callup.gg/download.

Termination. This license terminates automatically if you breach any term in this Section 3.3, if you delete your Callup account, or if we discontinue Callup Desktop. On termination, you must uninstall the desktop app. Locally captured clip files remain yours and are not affected by termination.

No warranty for the desktop app. Callup Desktop is provided "as is." Without limiting the disclaimers and limitations of liability set out elsewhere in these Terms (Sections 9 and 10), we make no warranty that the desktop app will be compatible with any specific game, hardware configuration, anti-cheat system, GPU vendor, or driver version.

4. User Content

4.1 Your Content

"User Content" includes video clips, comments, messages, profile information, reviews, LFG posts, and any other content you submit to the Service.

You retain ownership of your User Content. By submitting content to Callup, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, display, and perform your User Content in connection with operating and promoting the Service. This license ends when you delete your content or account, except:

Content shared with other users (e.g., messages) may persist in their accounts
Copies made by other users before deletion
Backups retained for a reasonable period for operational purposes
Content required to be retained by law

4.2 Content Standards

All User Content must comply with our Community Guidelines. You agree not to upload, post, or transmit content that:

Is illegal, harmful, threatening, abusive, harassing, defamatory, or obscene
Infringes any intellectual property rights, privacy rights, or publicity rights
Contains sexually explicit material or child sexual abuse material (CSAM)
Promotes violence, discrimination, or hatred against any individual or group
Contains malware, spam, or deceptive content
Impersonates another person or entity
Violates any applicable law or regulation

4.3 Content Moderation

We employ automated and human moderation to enforce our content standards:

Video clips are automatically analyzed using AI-based moderation tools
Text content is screened for policy violations
Users can report content and other users via in-app reporting tools
We may remove content or suspend accounts that violate our policies
Moderation decisions are made at our sole discretion

4.4 DMCA / Copyright

We respect intellectual property rights and comply with the Digital Millennium Copyright Act (DMCA) and equivalent Canadian copyright laws.

To submit a copyright takedown notice, send the following to our designated DMCA agent:

Identification of the copyrighted work
Identification of the infringing material and its location on the Service
Your contact information (name, address, email, phone)
A statement of good faith belief that the use is not authorized
A statement under penalty of perjury that the information is accurate
Your physical or electronic signature

Counter-notification: If you believe your content was removed in error, you may file a counter-notification with the above agent.

Repeat Infringers: We will terminate accounts of users who are repeat copyright infringers.

4.5 AI Coach (Optional Replay Analysis)

AI Coach is an optional feature. No clip is ever submitted for AI analysis unless you opt in at the point of use, and you may decline. If you decline or never use the feature, none of your replay data is sent for AI analysis.

What is processed, and by whom. AI Coach sends still frames sampled from the clip you submit to a third-party AI service provider for automated visual analysis. The clip's audio track is not sent. The data processed, the providers we use, and our retention practices are set out in our Privacy Policy, which forms part of these Terms under Section 14.1.
Output is guidance, not fact. AI Coach output is automatically generated, may be incomplete or incorrect, and is not professional coaching advice. Do not rely on it as your sole basis for any decision. See Section 9.
Ownership is unchanged. Submitting a clip to AI Coach does not alter the ownership or licence terms in Section 4.1.

5. Coaching Marketplace

5.1 Platform Role

Callup provides a platform connecting coaches and students. Callup is not a coaching provider. We do not employ coaches, guarantee coaching quality, or assume responsibility for the coaching relationship.

5.2 Coach Terms

Coaches operate as independent contractors, not employees of Callup. Coaches must agree to the Coach Contractor Agreement before offering services. Coaches are responsible for:

The quality and content of their coaching sessions
Compliance with all applicable laws and regulations
Accurate representation of their qualifications and rank

5.3 Coaching Payments

Callup does not process payment for coaching sessions. You pay the coach directly, using whatever method the two of you agree on. Callup is not a party to that transaction and is not the merchant of record for it.
Callup does not collect, hold, route, or refund coaching payments, and takes no commission from them. The rate shown on a coach's listing is the coach's own rate, not a price charged by Callup.
Because Callup never holds the money, it cannot reverse a coaching payment, release one, or compel either side to pay or refund. A payment dispute is between you and the coach.
Callup does act on conduct. If a coach takes payment and does not deliver, report them: a pattern of credible reports is grounds for suspension or removal of their listing. Callup's remedy is access to the platform, not money.
Coaches pay Callup a one-time listing fee. That fee is between the coach and Callup and does not involve you.
This section changed on 2026-08-14. Coaching was previously paid by card through Callup with funds held in escrow; Callup's payment provider is a merchant of record and cannot be the seller of a third party's human services, so that arrangement is no longer available.

5.4 Student Responsibilities

Students are responsible for:

Attending booked sessions on time
Treating coaches with respect
Providing honest reviews and ratings

6. Subscriptions and Purchases

6.1 Pro Subscriptions

Callup Pro is available as a monthly or annual subscription. On iOS, Pro is purchased via Apple In-App Purchase. On the web (callup.gg), Pro is available via card payment processed by Stripe.
Subscriptions auto-renew. Apple In-App Purchase subscriptions renew unless cancelled at least 24 hours before the end of the current period; web subscriptions renew automatically until cancelled.
Apple In-App Purchase subscriptions are managed and cancelled through your Apple ID account settings. Web card-billed subscriptions can be cancelled any time from Profile Settings, in the Subscription section, effective at the end of the current billing period.
Deleting your account cancels web card-billed subscriptions automatically.
Pro benefits (unlimited bookmarks, priority LFG, ad-free experience, extended clips, profile boost) are available only while the subscription is active.

6.2 Boosts

Profile Boosts are one-time purchases via Apple In-App Purchase.
Boosts expire after their designated duration (24 or 72 hours).
Boosts are non-refundable except as required by applicable law or Apple's refund policies.

6.3 Apple Terms

All in-app purchases are subject to Apple's Licensed Application End User License Agreement and Apple's refund policies. In the event of a conflict between these Terms and Apple's terms regarding in-app purchases, Apple's terms prevail.

7. Prohibited Conduct

You agree not to:

Violate any applicable law or regulation
Infringe the rights of others
Use the Service for any unlawful purpose
Attempt to gain unauthorized access to the Service or its systems
Interfere with or disrupt the Service or servers
Use bots, scrapers, or automated tools to access the Service without permission
Circumvent content moderation or security measures
Create accounts for the purpose of abusing promotions, referrals, or free trials
Engage in harassment, bullying, or intimidation of other users
Manipulate rankings, reviews, or engagement metrics (e.g., fake likes, view botting)
Share exploits, cheats, or hacks that violate game developer terms of service
Use the Service to recruit for illegal activities

8. Intellectual Property

8.1 Our Property

The Service, including its design, features, code, trademarks, logos, and documentation, is owned by Callup and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works from any part of the Service without our prior written consent.

8.2 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us an unrestricted, perpetual, irrevocable, royalty-free license to use that feedback for any purpose without compensation to you.

8.3 Third-Party Game Content

Callup features content related to third-party games (Valorant, League of Legends, CS2, etc.). All game names, logos, characters, and related assets are trademarks of their respective owners. Callup is not affiliated with, endorsed by, or sponsored by any game developer or publisher unless explicitly stated.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

The Service will be uninterrupted, timely, secure, or error-free
Results obtained from the Service will be accurate or reliable
AI Coach output, which is generated automatically, will be accurate, complete, or suitable for any particular purpose (see Section 4.5)
Any content uploaded by users is accurate, legal, or appropriate
Coaching services purchased through the platform will meet your expectations

10. Limitation of Liability

10.1 Callup Is a Facilitator, Not a Party to Coaching or LFG Interactions

Callup facilitates introductions, payments, and communication between users (including between players and coaches, and between players looking for teammates). Callup is not a party to coaching sessions, LFG-originated team activity, private messages between users, or any off-platform relationship that may arise between users.

You acknowledge and agree that:

Coaching sessions are contracts between the coach and the student. Callup is not responsible for the content, conduct, quality, outcome, or results of any coaching session.
Teammates found through LFG are not vetted or endorsed by Callup. Any interaction, communication, or team activity resulting from LFG is solely between the users involved.
Users are solely responsible for their own conduct, communications, and any exchange of information that occurs on or off the platform.
Callup does not guarantee that any coach, scout, teammate, or other user is who they claim to be, or that any representations they make are accurate.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CALLUP AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING FROM:

Your use of or inability to use the Service
Any content posted by you or other users
Any coaching services obtained through the Service
Any LFG-originated team activity, communication, or meeting
Unauthorized access to or alteration of your account or data
Any third-party conduct on the Service

Our total aggregate liability for any claims arising from your use of the Service shall not exceed the greater of (a) the amount you have paid to Callup in the 12 months preceding the claim, or (b) CAD $100.

11. Indemnification

You agree to indemnify, defend, and hold harmless Callup and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from:

Your use of the Service
Your User Content
Your violation of these Terms
Your violation of any third-party rights

12. Governing Law and Disputes

12.1 Governing Law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict of law principles.

12.2 Dispute Resolution

Any dispute arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of British Columbia, Canada.

13. Termination

13.1 By You

You may terminate your account at any time by using the Delete Account feature in Settings, or by contacting support@callup.gg.

13.2 By Us

We may suspend or terminate your account at any time, with or without notice, for:

Violation of these Terms or our Community Guidelines
Conduct that we determine is harmful to other users, the Service, or third parties
Extended inactivity (12+ months with no login)
Any other reason at our sole discretion

13.3 Effect of Termination

Upon termination:

Your right to use the Service ceases immediately
We may delete your account data in accordance with our Privacy Policy
Sections that by their nature should survive termination will survive (including Disclaimers, Limitation of Liability, Indemnification, and Governing Law)

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy and Community Guidelines, constitute the entire agreement between you and Callup regarding the Service.

14.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect.

14.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision.

14.4 Assignment

You may not assign your rights under these Terms. We may assign our rights without restriction.

14.5 Force Majeure

We are not liable for delays or failures in performance resulting from causes beyond our reasonable control, including natural disasters, war, terrorism, pandemics, government actions, or infrastructure failures.
